1. Scope of Services

By entering into this agreement, you are securing a comprehensive suite of website management tools and professional oversight.

1.1 Fully Managed Web Hosting
We provide enterprise-grade hosting powered by Dell servers and Samsung SAS SSD storage, located in our North Ryde, NSW data centre.

1.2 Comprehensive Maintenance & Support
Our team provides proactive care to ensure your site remains secure and functional.

  • Maintenance Tasks: Includes weekly backup verification, WordPress core/plugin updates, security assessments, form functionality testing, and monthly reporting.
  • Allocated Time: Includes one hour of website content updates per month. This service covers modifications to text, images, and video, as well as the addition or removal of pages and menu items.

Please note: that all content must be supplied by the client as original content creation is not included in this provision and any unused time does not carry over to the following month and resets on the 1st of each month.

  • Email & Monitoring: Integration of SMTP2GO for reliable email delivery and 24/7 uptime monitoring via Uptime Robot.

1.3 Speed Optimisation (Spin Speed Pack)
We will implement the Spin Speed Pack to enhance performance. This includes:

  • Site Diagnostic & Recommendation Report.
  • NitroPack Plugin Integration (caching, image optimisation, and CDN).

Compatibility: If a website is outdated or incompatible with NitroPack, a separate quote for remedial work will be required.

2. Plugin & Theme Management

To maintain high performance and security, we utilise a suite of premium “Core Plugins.”
Licensing: All plugin license renewal costs for the core stack (Solid Security Pro, Solid Backups, Gravity Forms, Astra Theme, Elementor, and Ultimate Addons Pro) are included in your maintenance fee.

Importance of Updates: While a site may function without renewals, ongoing updates are mandatory for security and compatibility. If the maintenance subscription is cancelled, these licenses will be deactivated.

3. Domain & DNS Services

  • Domain Management: We handle the registration, hosting, and renewal of your domain name. Pricing is based on a standard 1-year term.
  • DNS Hosting: We manage your DNS records to ensure seamless connectivity for your website and linked services (e.g., email).

4. Billing & Payment Terms

  • Renewal: Services are billed on a recurring basis. Failure to renew may result in the suspension of hosting and the deactivation of premium plugin and template features.
  • Adjustments: Spin Design reserves the right to adjust the website hosting’s storage and RAM as needed. All websites managed by Spin Design are provided with a maximum capacity of 15GB for storage and 6GB for RAM. Should a website require capacity exceeding these limits, Spin Design will inform the client regarding an upgrade to a higher capacity plan.
  • Pricing: We reserve the right to modify or update the pricing structure for our services, products, or subscriptions at any point in time. This includes, but is not limited to, adjustments to hourly rates, fixed-fee service charges, product purchase prices, and recurring subscription fees. This adjustment may be necessitated by factors such as fluctuating market conditions, changes in operational costs, modifications to our service offerings, or regulatory requirements.
    Any changes to the existing pricing structure will be communicated to you with a minimum of thirty (30) days’ prior written notice. This notification will clearly outline the specific changes being made, the effective date of the new pricing, and its impact on your current service agreement or subscription. We are committed to notifying all affected customers promptly and transparently via email or through a prominent announcement within your account portal.
    Continued use of our services, products, or subscriptions after the thirty-day notice period and the effective date of the pricing adjustment will constitute your acceptance of the new pricing structure. Should you disagree with the new pricing, you retain the right to cancel your subscription or terminate the service agreement prior to the effective date of the change, as per the terms outlined in the ‘Termination and Cancellation’ section of these Terms & Conditions. 
  • Minimum Term and Commitment: Enrollment in the comprehensive maintenance plan signifies a commitment to a minimum term of one (1) year, equivalent to twelve (12) consecutive months, commencing from the plan’s activation date. This minimum duration is essential to ensure the effective long-term operation, stability, and proactive upkeep of your system/website. The commitment allows our team to implement a structured maintenance schedule, including all necessary updates, security patches, performance optimisations, and routine monitoring, which yields the best results over a sustained period. This initial term is non-negotiable and is the foundation of the service agreement.
    • Termination Clause and Policy: Should you wish to terminate the maintenance plan before the expiration of the one-year minimum commitment, the procedure and penalties for early termination are strictly governed by the detailed terms and conditions set forth in Section 6 (Termination) of the service agreement. This section explicitly outlines the required notice period for termination and any associated early termination fees or financial obligations that will become immediately due upon notice. Customers are strongly advised to review Section 6 in full prior to enrollment to understand the financial implications of early cancellation. Notification of termination must be provided in writing as specified in the agreement.

5. Client Responsibilities & Liability

  • Access: The client must provide the necessary administrative access to the website, website hosting account and domain registrar (if not managed by us).
  • Content: The client is responsible for the legality and accuracy of the content provided for updates.
  • Service Limitations: While we employ enterprise-grade security and daily backups, no service can guarantee 100% protection against sophisticated cyber threats. Our maintenance ensures we have the tools (Acronis/Solid Backups) to restore your site quickly in the event of an issue.

6. Termination

Either party, the Service Provider or the Client, reserves the right to terminate this agreement for any reason, provided that the terminating party furnishes the other party with 30 days’ written notice. This formal notification period allows both parties adequate time to prepare for the transition and conclude all outstanding matters.

Upon the effective date of termination, regardless of which party initiated the termination:

  • Cessation of Speed Optimisation Services (NitroPack): All services provided by the Service Provider related to website speed and performance optimisation, specifically those utilising third-party tools such as NitroPack, will immediately cease. Any existing licenses or configurations managed by the Service Provider will be deactivated, and the Client will be responsible for obtaining their own license or alternative solution if they wish to continue using such services or maintaining the associated performance benefits.
  • Termination of Email Delivery Service (SMTP2GO): The provision of the Email Delivery Service, currently facilitated through our third-party provider, SMTP2GO, is essential for the reliable and secure transmission of all automated and transactional emails originating from the client’s platform, including, but not limited to, system notifications, online form enquiries, password resets, order confirmations, and marketing communications.
    In the event of a decision to terminate the Email Delivery Service:
  • Data Transition: Upon termination, the client will lose access to the SMTP2GO platform via the Spin Ultimate Care service and will be solely responsible for establishing an alternative email delivery mechanism. The Spin Ultimate Care service will not be responsible for any interruptions to email communication resulting from the termination. The client is responsible for transitioning any necessary historical data or configuration settings before the effective termination date.
  • Post-Termination: Following the termination date, all attempts to route emails through the previously configured SMTP2GO relay via the Spin Ultimate Care service will fail, resulting in delivery errors.
  • Disclaimer: The Spin Ultimate Care service is not the direct provider of the SMTP2GO service and, as such, cannot guarantee its uptime, deliverability rates, or specific service features. Our role is limited to integrating and managing the service as part of the broader Spin Ultimate Care package. The termination of this specific component does not necessarily terminate the entire the Spin Ultimate Care service agreement unless the grounds for termination also breach the overall terms and conditions.
  • Revocation of Premium Plugin Licenses: Any premium or paid plugin licenses that have been procured and provided to the Client as part of the Service Provider’s ongoing services and maintenance package will be immediately revoked. The Client acknowledges that these licenses are typically non-transferable and are tied to the Service Provider’s agency accounts. The Client will be responsible for purchasing their own licenses for any such plugins they wish to continue using post-termination to ensure the continued functionality and security of their website. 
    1. As plugin licenses are typically billed on an annual basis, the client assumes responsibility for the purchase costs. They retain the right to utilise our licenses until their expiration, provided the outstanding balance is settled upfront. We shall notify the client of the expiration date to ensure they are fully apprised of the relevant timelines.
  • Client Responsibility for Website and Data Migration: The Client assumes sole responsibility for all necessary actions involved in migrating their website, including all associated files, databases, and content, to a new hosting provider or service provider of their choice. The Service Provider will not be responsible for any costs, data loss, or downtime incurred during this migration process. It is the Client’s obligation to ensure all data is successfully and securely transferred within a reasonable timeframe following the termination date. The Service Provider may, however, offer a final backup of the website data upon request before the end of the notice period, subject to any specific data retention policies outlined elsewhere in this agreement.
  • Early Termination Clause: Should the Client choose to terminate this contract prior to the expiration of the one (1) year commitment period, the Client acknowledges and agrees that such early termination will require immediate settlement of all outstanding balances due up to the date of termination.
    This includes, but is not limited to, payment for all services rendered, costs incurred, and any applicable professional fees or charges accrued as defined within this agreement and its associated schedules or statements of work. Furthermore, the Client may be subject to an early termination fee equivalent to the remaining monthly service fees or the proportional outstanding value of the one (1) year commitment, unless otherwise stipulated and agreed upon in writing by both parties. Termination shall only become effective upon the date that all outstanding payments and any applicable early termination fees are received in full.

7. Acceptance

7.1. The Customer signified acceptance of this Privacy Policy, as well as our Terms of Service, Customer Service Policy, Acceptable Use Policy and any applicable Registrant Agreement, when they submitted their order to Spin Design for Services, and that order was accepted.

8. Changes

8.1. Spin Design may amend our Privacy Policy at any time. Changes to this agreement will become effective upon their publication to our website.
8.2. Continued use of the Service(s) constitutes acceptance of the amended terms. If you do not wish to accept the amended terms, you may request cancellation of your Services in­line with our cancellation policy found within our Terms of Service.
